How a clause earns a deal-breaker tag.
Not every deviation from standard is treated the same. Uncapped, unilateral liability gets flagged as a deal-breaker because the downside is severe and often invisible until it's already a problem — not because negotiation is impossible, but because it's worth stopping and getting a lawyer before signing or countering.
